Abstract

The franchise business modality is guided by the contract, which regulates the relationship between franchisor and franchisee. Sometimes, due to the occurrence of information asymmetry or incorrect compliance with agreed contractual clauses, conflicts in the relationship are generated. The automation of contracts, in the form of smart contracts, is one of the possibilities already reported for the solution of some of the aspects involving the relationship between the parties. This article presents the results of a first stage of a project consisting of two stages, whose objective is to demonstrate the applicability of smart contracts instantiated in blockchain for the control and monitoring of specific clauses of franchise contracts. Unlike documents reported in the literature, the results presented in this article are based on the analysis of a specific type of a real franchise agreement, identifying which clauses present the possibility of automated control and monitoring through a smart contract, and proposing a classification of these clauses regarding the possible ways of carrying out these actions. Results indicate, for the analyzed contract, that a little less than half of the clauses can be implemented in a smart contract, with the possibility of excluding other clauses, since the correct execution of other clauses is guaranteed.
